4. Discount: Twelve percent (12%) Gross (minimum (11%)

Nine percent (9%) Net to buyer, (minimum 8%). The buyer or its assignee has the right to assign part of the 9% discount to its subsidiaries company.

5. Commissions: Total Three Percent (3%) commission to both seller and buyer side:

One and Half Percent (1.5%) to seller side (closed)

One and Half Percent (1.5%) to buyer side (1% to buyer's mandate and 0,5% to intermediaries)

6. Documents: Safe Keeping Receipt

a. Original Certificate of Deposit

c. Total Weight as stamped on each Bar

d. Receipt of paid custom duties and taxes

7. Procedures:

a. This transaction will be done on a bank to bank or in house bank transaction ledger to ledger basis.

b. Seller sends FCO/NCND (including proportions for each party) to Buyer through designated sellers mandate/intermediary. FCO/NCND must have sellers code, and must be signed together with the name of their bank officer and his direct telephone number.

c. The buyer responds to the FCO within 10 banking days with intent to buy. Otherwise, sellers offer shall be considered withdrawn and without any force and effect. The intent to buy must have that bank coordinates together with the name of their bank officer and his direct telephone number.

d. The final purchase contract shall be prepared and signed by the seller and buyer on their authorized representative(s) and the signed and notarized contracts shall be lodge with their respective banks.

e. The sellers bullion officer shall contact the buyers bullion officer to set a window time for confirming the stocks and documents. An invitation shall be issued for the buyers bank officer and bullion officer to visit sellers bank to view documents and inspect the stocks.

f. Upon confirmation by the sellers officer of the availability of the documents and stock, the buyers bank officer shall confirm to the sellers bank officer the physical presence of clean, clear and transferable fund blocked for payment for 1,000 metric tons of gold metal.

g. After verification and confirmation by both parties as stated above, a window to implement this final purchase contract shall be agreed upon by their respective bank officers. Official transfer of ownership of all documents from the seller/owner to the buyer will be executed upon receipt of full payment.

h. Lifting and transfer of the subject commodity to buyers chosen destination shall be at buyers account and responsibility. The seller shall assist the buyer in securing an export permit if necessary.
